1. Eligibility
You must be at least 18 years old (or the age of legal majority in your jurisdiction) to use Song Sprouts. By using the Platform, you represent that you meet this requirement and that all information you provide is accurate.
2. Account Types & Onboarding
Song Sprouts supports two creator account types:
Standard Marketplace Artist
Profile goes public immediately after sign-up. You must verify your email, complete dashboard setup (store name, image, bio, links, genre, baseline pricing), and accept the indemnification agreement. Biometric identity scan and full Stripe Connect onboarding are deferred until you reach $50 in sales.
Verified Songwriter
Requires upfront biometric identity verification, full Stripe Connect onboarding, a portfolio submission (streaming/social links), a mandatory 30-second video of you in your studio environment, manual admin review, and a digitally signed Independent Contractor Agreement. Verified Songwriters receive premium algorithmic placement and a verified badge.
You are responsible for keeping your account credentials secure and for all activity that occurs under your account.
3. Content & Ownership
Creators retain 100% of all songwriting and publishing rights to the work they produce on the Platform. Song Sprouts claims zero ownership over the master recording or publishing rights unless you explicitly opt into an Exclusive Full Buyout contract with a buyer.
You grant Song Sprouts a limited, non-exclusive license to host, display, transmit, and promote your content as necessary to operate the Platform and fulfill orders. This license terminates when your content is removed, except as required for completing existing transactions.
By uploading content, you represent that you have all necessary rights and that your content does not infringe on any third party's intellectual property, publicity, or privacy rights.
4. Marketplace Fees
Song Sprouts collects platform fees based on the type of transaction:

Fees may change. Material changes will be communicated in advance via your dashboard and/or email.
5. Custom Song Commissions
For every per-song commission, the Creator Pot (the amount remaining after the Song Sprouts platform fee) is split as follows:
- 60% to the Lead Artist for project management and execution.
- 40% to the Primary Collaborator — a protected share.
If the Lead Artist brings on additional collaborators, their compensation must come from the Lead Artist's 60% share. If a collaborator fails to deliver or ghosts, the Lead Artist may terminate their involvement, but the 40% share must be reallocated to a replacement collaborator — it cannot be absorbed by the Lead Artist.
Collaborators must explicitly elect their crediting status (Featured Artist or Ghostwriter) on a per-song basis before kickoff. Final deliverables must be submitted as 24-bit / 48 kHz WAV files.
Upfront payments are released to all creators immediately upon final customer approval.
6. Revisions
Each artist defines their own free revision policy at setup: how many free rounds are included and which categories of changes (Lyric/Story, Musical/Vibe, or Polish/Balance) are eligible. Once the free limit is reached, paid revision tiers automatically activate.
To protect customers, individual revision fees are capped dynamically and cannot exceed 30% of the base song price. When an artist accepts a revision, they specify the additional days required, which automatically extends the project deadline and is communicated to the customer.
Collaborators agree to provide reasonable internal revisions necessary to reach final customer approval without additional compensation. Revision fees are only charged to the customer when changes alter the project scope.
7. Distribution & Too Lost Integration
Song Sprouts uses Too Lost as a white-labeled backend distributor to deliver music to 480+ digital stores and streaming services. Distribution operates under two pricing tiers (see Section 4).
Artists may transfer existing catalogs from other distributors using the Catalog Transfer tool; original ISRC and UPC codes are preserved to maintain stream counts and store availability.
Song Sprouts may, at its discretion, decide which premium Too Lost features (publishing administration, advance funding, Spotify Discovery Mode, copyright registration, AI mastering, etc.) are available to Free Tier vs. Paid Tier users. Frontline support for distribution issues is handled by Song Sprouts, with technical escalation to Too Lost as needed.
8. Storefronts
Your profile acts as your personal storefront. Song Sprouts maintains the master list of available service categories and provides the templates. Within those templates, artists set their own prices, titles, descriptions, and imagery.
Artists are fully responsible for fulfilling their storefront orders on the timelines they publish. If a product or service isn't listed on your profile, you may not accept orders for it. Song Sprouts reserves the right to review and remove any storefront content at our sole discretion if it violates these Terms.
9. Add-ons, Upsells & Physical Goods
Add-ons appear during the customer checkout flow and are separate from standard storefront listings. Digital upgrades (instrumentals, sheet music, lyric sheets, QR code art, ringtones, gift cards, etc.) are platform-priced. Artist experiences (rush delivery, extra verses, voice memos, live sessions, virtual performances, etc.) are artist-priced.
Physical merchandise sold under the official Song Sprouts brand is fulfilled by Printify and follows a strict 40% margin formula. Shipping is billed directly to the customer at checkout. Refunds or reprints are only issued for manufacturing defects, not size/preference issues.
10. Licensing Tiers
Song Sprouts supports three licensing options for every track sold. Artists may toggle which options are available in their storefront settings.
- Personal Use (Default): Artist retains 100% of master and publishing. Customer receives only personal streaming/enjoyment rights — no commercial use.
- Non-Exclusive Commercial License: Buyer may use the audio in commercial broadcast, advertising, podcast, or social media with no caps on views or spend. Only trim, cut, and fade alterations are permitted. Remixing, adding vocals, and re-releasing on streaming platforms are forbidden. Content ID must be disabled on any track sold under this license.
- Exclusive Full Buyout: A Work-for-Hire transfer. Buyer acquires 100% of master and publishing rights, including the right to resell or sublicense. The artist and Song Sprouts are prohibited from uploading the track to streaming platforms or public portfolios after sale.
All commercial licenses are bound by a Morality Clause: buyers may not use the music in connection with content promoting illegal acts, hate speech, or defamation. Buyers are permitted (and encouraged) to credit the original artist for promotional purposes.
11. Black Box Studio Booking
The studio booking network is a direct booking directory for manually vetted local recording spaces. All listed studios pass a verification process to confirm they are legitimate professional environments. Availability is synced via Google Calendar, and all communication and payments must remain inside the Song Sprouts ecosystem.
Artists pay a deposit upfront to lock a slot. On physical arrival, the artist scans a dynamically generated QR code on the studio manager's device to release final payment and start the session.
No-shows and cancellations: If the artist fails to arrive and never scans the QR code, the deposit is fully non-refundable. The studio retains the deposit as compensation for lost time, and Song Sprouts collects its standard platform fee from that deposit.
12. Payments, Payouts & Wallet
Payouts are processed via Stripe Connect. PayPal support is in development. Verified Songwriters must complete full Stripe onboarding before listing; Standard Marketplace Artists must complete it before reaching $50 in sales.
All earnings (including referral rewards) accrue in your internal wallet and are released to your connected payout method when your balance reaches the platform's standard payout threshold.
You are solely responsible for the reporting and payment of taxes on income earned through Song Sprouts.
13. Referral Program
The referral program is open to every user on the Platform — artists, ambassadors, and customers alike. Custom referral links are generated automatically at sign-up (for artists) or upon account creation (for customers).
Referrers earn a flat 5% lifetime cut: 5% of all purchases made by referred customers, or 5% of all platform earnings of referred creators — for as long as those accounts exist on the Platform. Referral earnings accrue to your wallet and pay out per the standard threshold (see Section 12).
Self-referrals, fake accounts, and any abuse of the program will result in forfeiture of referral earnings and possible account termination.
14. Prohibited Content & Conduct
You may not upload, list, sell, or distribute content that:
- Is illegal, hateful, harassing, defamatory, or threatening.
- Is sexually explicit or pornographic.
- Infringes on any copyright, trademark, publicity, or privacy right.
- Contains malware, exploits, or unauthorized scraping tools.
- Misrepresents your identity, your work, or your collaborators.
- Violates the Morality Clause attached to commercial licenses (Section 10).
Song Sprouts reserves the broad right to remove content, suspend accounts, or refuse service at our sole discretion when content or behavior does not align with these Terms or platform values.
15. Human-Created Content Requirement
Song Sprouts is a marketplace for authentic human creativity. AI-generated music, vocals, lyrics, and compositions are prohibited across commissions, storefronts, distribution, and the Learning Management System. You may use standard production tools (DAWs, plug-ins, samplers); you may not submit work that is primarily generated by AI music or lyric models.
Suspected violations will be investigated and may result in content removal, payout forfeiture, and account termination.
16. Disputes Between Users
Creators are expected to act professionally and to confirm scope before accepting collaborations or gigs. Disagreements should be resolved internally between the parties first.
If a dispute cannot be resolved, it may be escalated to the Song Sprouts Admin Panel for review and mediation. Song Sprouts' decisions on internal disputes are final.
17. Termination
You may close your account at any time from your dashboard. Song Sprouts may suspend or terminate your account for violations of these Terms, fraudulent activity, abusive behavior, or any conduct that harms the Platform or its users.
On termination, your active orders will be honored to the extent reasonably possible, and any vested wallet balance will be paid out per Section 12 (subject to deductions for fraud, chargebacks, or refunds).
18. Disclaimers
The Platform is provided "as is" and "as available." Song Sprouts makes no warranty that the Platform will be uninterrupted, error-free, or free of harmful components, and disclaims all implied warranties to the maximum extent permitted by law.
Song Sprouts does not guarantee any specific level of sales, streams, royalty income, or career outcome. You are the operator of your own creative business.
19. Limitation of Liability
To the maximum extent permitted by law, Song Sprouts and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, goodwill, or data, arising out of or related to your use of the Platform.
Our total cumulative liability for any claim arising from or related to the Platform is limited to the amount you paid to Song Sprouts in the twelve (12) months preceding the event giving rise to the claim, or US$100, whichever is greater.
20. Changes to These Terms · Contact
We may update these Terms periodically. Material changes will be announced via dashboard notification and/or email. Continued use of the Platform after updates take effect constitutes acceptance of the revised Terms.
