1. Acceptance of Terms

By accessing or using the website at songsprouts.com (the “Site”) and the services provided by Song Sprouts LLC (“Song Sprouts,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use our Site or services.

2. Description of Service

Song Sprouts operates as a digital marketplace connecting audio creators (including songwriters, producers, vocalists, and engineers) with consumers seeking custom song commissions, digital audio assets, and creative freelance services.

3. User Accounts and Eligibility

  • Account Creation: You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account as a Creator or a Buyer.

  • Account Information: You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate.

  • Account Security: You are responsible for safeguarding your password and for all activities that occur under your account.

4. Payments and Payouts

  • Payment Processing: All payments are processed securely through our third-party payment provider, Stripe. By transacting on Song Sprouts, you agree to Stripe’s applicable Terms of Service.

  • Pricing: Creators dictate their own pricing and rates for revisions on their personal storefronts.

  • Payouts: Creator payouts are distributed according to the specific tier and agreement selected at the time of the transaction.

5. Intellectual Property and Royalties

The division of rights between the Buyer, the Creator, and Song Sprouts depends on the specific transaction tier selected:

  • Standard Tiers (A, B, and C): Unless otherwise agreed upon in a buyout, Creators retain 100% of their copyright and 100% of their Performing Rights Organization (PRO) writer’s share. Song Sprouts is granted the necessary distribution rights to facilitate the delivery and global distribution of the track. Upfront pay and royalty splits will be enforced exactly as outlined in the specific tier selected at checkout.

  • Ghostwriter Buyout: If a Ghostwriter Buyout is selected, the Creator receives the agreed-upon upfront payment and relinquishes all royalties. Song Sprouts (or the purchasing Buyer) takes full ownership of the Master and Publishing rights, and the Creator remains anonymous.

  • Platform Rights: By uploading content to your portfolio, you grant Song Sprouts a non-exclusive license to display, reproduce, and use your materials solely for promotional and operational purposes related to the Site.

6. Quality Standards and Prohibited Content

Song Sprouts maintains strict quality guidelines to protect consumers and creators:

  • Human-Created Content: All vocals, lyrics, and compositions sold or delivered through Song Sprouts must be strictly human-created. The use of generative AI for primary audio generation is strictly prohibited and will result in immediate account termination.

  • Prohibited Conduct: Users may not upload, request, or distribute content that is illegal, defamatory, infringing on third-party intellectual property, or otherwise violates these Terms.

7. Limitation of Liability

To the maximum extent permitted by law, Song Sprouts LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use the platform; (b) any conduct or content of any third party on the platform; or (c) unauthorized access, use, or alteration of your transmissions or content.

8. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Oregon, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.

9. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by updating the date at the top of these Terms and, where appropriate, through platform notifications or email. Your continued use of the Site after changes are published constitutes your acceptance of the revised Terms.
